### Introduction

Urano Sp. z o.o., headquartered in Grudziądz, Poland, operates as the regulated entity overseeing tokenization-related processes within the Urano Ecosystem. 2\. European Regulatory Framework

MiCA (EU Regulation 2023/1114) became fully applicable on 30 December 2024, establishing a harmonized regulatory framework for crypto-asset issuance and CASP authorization across the EU.

Under this regime:

* CASPs authorized in one Member State may operate across the EU via passporting.
* ESMA maintains the central register of authorized CASPs.
* Existing VASPs may continue providing services under the transitional arrangements until the deadline established by the regulation and national implementation measures.

### &#x20;Regulatory Situation in Poland

Poland is in the process of implementing MiCA. On 26 September 2025, the Sejm approved the Polish Crypto-Assets Market Act, designating the KNF as the supervisory authority. Its final enactment remains pending until the legislative procedure is formally concluded and the implementing provisions are issued.

Until the Act enters into force, the current VASP regime remains applicable.\
Under the current transitional rules:

* VASPs registered before 30 December 2024 may continue operating until 1 July 2026.
* After this date, CASP authorization becomes mandatory.
* Earlier assumptions regarding an October 2025 sunset for the VASP register have been superseded by the updated timeline.

MiCA is directly applicable across the EU, but national enforcement in Poland depends on the final implementation and operational guidelines issued by KNF.&#x20;

### Compliance Obligations for Urano Sp. z o.o.

As a registered VASP, Urano Sp. z o.o. will continue to operate under the existing framework during the transitional phase and must:

Urano Sp. z o.o. must obtain CASP authorization by 1 July 2026 to continue operating beyond the transitional regime.

To be authorized, the company must:

* maintain a physical operational presence in Poland,
* satisfy capital requirements (€50,000–€150,000 depending on the services offered),
* implement governance, AML/CFT and internal control systems aligned with MiCA,
* meet all supervisory and reporting obligations after the national act enters into force.

As of today, Urano Sp. z o.o. remains compliant with applicable regulations and is permitted to operate legally until the end of the transitional regime. Continuous monitoring of legislative updates is essential as the regulatory landscape evolves.\

**Platform Integration**\
Once structured, asset representations can be made available within the uApp, where eligible users may access, consult and interact with the respective digital frameworks under the applicable compliance rules.

### How Tokenization Works

Tokenization within the Urano Ecosystem follows two primary origination pathways:

**1. Internal Origination (Urano Ecosystem** **Sp. z o.o.)**

Through a network of professional partners and domain experts, Urano identifies real-world assets that meet the criteria for compliant digital structuring. Each opportunity undergoes internal review, which includes documentation verification, regulatory assessment, technical feasibility analysis and alignment with ecosystem standards.

**2. External Origination via uStation**

uStation serves as the dedicated onboarding hub for asset originators, including businesses, artists, property owners and entrepreneurs, who intend to structure eligible real-world assets digitally.\
Submitted proposals undergo:

* documentation checks
* legal and regulatory analysis
* assessment of feasibility under MiCA
* technical scoping

All external asset originators are required to complete KYB (Know Your Business) verification, as well as KYC procedures for Ultimate Beneficial Owners (UBOs) and relevant representatives, in line with applicable AML/CFT regulations. Tokenization proceeds only once identity, ownership and compliance conditions are fully validated.

Only proposals that satisfy all requirements progress to the structuring phase.<br>

### The Tokenization Lifecycle

The tokenization workflow within the Urano Ecosystem follows a standardized five-step sequence that applies consistently to both internal and external origination pathways.\
Each phase ensures legal clarity, technical robustness and operational transparency.

### **1. Onboarding and Verification**

Asset originators submit the required documentation, including ownership records, legal certificates and technical information.\
A structured verification process is carried out to confirm:

* identity, KYB/KYC compliance and UBO verification
* ownership legitimacy
* regulatory permissibility under MiCA
* documentation completeness and accuracy
* technical and operational feasibility

Only asset proposals that satisfy all onboarding requirements proceed to the next phase.

### 2. **SPV Structuring and Operational Segregation**

Following the legal structuring phase, the underlying real-world asset is held or managed through a dedicated **Special Purpose Vehicle (SPV)**.\
The SPV provides the legal and operational segregation required for compliant asset handling and ensures that the real-world asset and its related cash flows remain fully separated from the activities of other ecosystem participants.

Depending on the nature of the asset and the selected model, the SPV may operate under:

**Standard (Single Model):**

* &#x20;  ring-fencing clauses
* &#x20;  dedicated asset segregation

The SPV is responsible for executing all off-chain operations related to the asset, including:

* &#x20;     collection of proceeds and transfer of outcomes for on-chain processing

### 3. Fractional Digital Representation

After approval, the asset is digitally structured through uShares, Urano’s programmable Factory ERC-20 representation.

This process includes:

* defining the digital supply associated with the asset
* encoding compliance logic and permissions
* preparing lifecycle rules and metadata
* deploying the representation on-chain

Fractional digital structuring enables the division of the opportunity’s economic structure into multiple digital units.\
For example, a €1 million asset can be represented through 1,000 uShares, each representing a standardized digital fraction of the structured asset.

This process enables programmable, transparent and auditable interaction with asset-linked structures without implying the issuance of regulated financial instruments.

### 4. User Interaction

Eligible users access the uApp, complete identity verification (KYC/KYB), and interact with the structured asset in accordance with its legal configuration.

Users are able to:

* view the asset’s documentation
* review lifecycle details
* acquire the corresponding uShares using stablecoins or other supported digital assets
* interact with the on-chain representation under compliant rules

Once structured, the asset follows a standardized on-chain lifecycle that governs user interactions, compliance management and event handling.

When a real-world asset associated with a digital representation generates a recognized economic outcome — such as appreciation, liquidation, disposal, or the successful completion of an underlying project — the corresponding value is handled through a standardized process designed to ensure clarity, transparency and compliant on-chain execution.

### **1. Value Realization (Off-Chain Event)**

When an asset produces a tangible economic result (e.g., proceeds from a sale, liquidation, auction, settlement or monetization event), the SPV responsible for managing the underlying real-world asset collects the proceeds in fiat currency in accordance with the asset’s legal and operational structure.

### **2. Conversion to Stablecoins (e.g., USDC)**

All collected proceeds are converted into stablecoins, such as USDC.\
Once converted, the stablecoins are transferred to the Urano platform, where they can be processed and prepared for on-chain allocation.\
This conversion is a required operational step, as all distributions and technical interactions within the Urano Ecosystem occur exclusively on-chain.\
Stablecoins enable transparent accounting, traceability and efficient allocation through smart-contract mechanisms.

### **3. On-Chain Allocation and Claim Mechanisms**

Following the conversion into stablecoins, the corresponding amounts are transferred on-chain and processed through dedicated smart contracts.\
Holders of uShares linked to the underlying Real World Asset (RWA) can claim the proceeds through the on-chain claim mechanism, in accordance with the rules and legal configuration defined for that specific opportunity.\
These operations are executed transparently and automatically through smart-contract logic and do not imply any guarantee of returns, profits or financial performance.

### MiCA Compliance and Permitted Activities

Urano Ecosystem Sp. z o.o. operates strictly within the scope of activities permitted under the MiCA regulatory framework and does not engage in services requiring additional authorization.\
All operations are conducted within the boundaries applicable to entities registered under the Polish VASP framework and transitioning toward the MiCA CASP regime.

Permitted Activities Include:

Urano Ecosystem Sp. z o.o. is authorized to perform only the following categories of activities:

* creation, administration and lifecycle management of crypto-assets that fall within the MiCA definition of non-MiFID crypto-assets
* provision of technical interfaces enabling users to interact with digital representations (e.g., viewing, accessing documentation, lifecycle event handling)
* digital structuring and deployment of asset-linked representations through programmable on-chain mechanisms
* technical distribution and placement tools, strictly within the boundaries applicable to crypto-assets not qualifying as financial instruments
* custodial and administrative tools designed to enhance user protection when interacting with compliant wallet infrastructures
* market-access enablement through compliant partnerships with third-party service providers operating under MiCA or equivalent regulatory frameworks

All activities are designed according to a compliant-by-design approach that integrates identity controls, transfer restrictions and procedural safeguards directly into the technological infrastructure.

Regulatory Limitations

Urano Ecosystem Sp. z o.o. does not perform — and is not authorized to perform — activities requiring MiFID, EMI, banking or payment-service licensing.

Specifically, the company does not:

* issue, manage or distribute MiFID-regulated financial instruments
* issue electronic money (EMI) or provide payment-service activities
* provide investment advice, portfolio management or individualized recommendations
* perform market-making, brokerage, order execution or regulated trading activities
* offer lending, credit or interest-bearing products
* operate as a securities issuer or as a manager of collective investment schemes

Its purpose is to manage capital, support strategic initiatives, and contribute to the long-term growth of the Urano Ecosystem through independently governed liquidity and asset-allocation activities.

Leveraging Switzerland’s advanced legal environment for digital corporate instruments, Urano AG issues tokenized shares that combine the structure of traditional equity with the efficiency and transparency of blockchain-based registries.\
These tokenized shares are compliant with Swiss corporate and digital-asset regulations, enabling secure digital ownership and on-chain governance while remaining anchored to recognized shareholder-rights frameworks.

Urano AG operates entirely independently from Urano Sp. z o.o. and does not issue crypto-assets subject to MiCA. Its role is strictly corporate and financial: to allocate capital, maintain operational reserves, and support ecosystem-aligned initiatives where appropriate.

All identity verification steps are handled exclusively by Persona, which processes documents and biometric information in full compliance with:

GDPR – Regulation (EU) 2016/679, including Articles 5 (lawfulness and data minimization), 6 (legal bases for processing), and 32 (security of processing).

MiCA – Regulation (EU) 2023/1114, with specific reference to the obligations imposed on Crypto-Asset Service Providers regarding user identification, record-keeping, and operational integrity.

A uShare is a factory ERC-20 token that represents a digital unit linked to the economic structure of a tokenized Real World Asset (RWA). Each uShare corresponds to a proportional allocation within the economic model defined for a specific opportunity, enabling transparent and auditable interaction with its lifecycle.

Holding a uShare provides exposure to the economic parameters associated with the relevant opportunity, as defined within its dedicated legal and contractual framework. Changes affecting the underlying asset—such as valuation updates, lifecycle events, or other predefined economic factors—may be reflected in the reference parameters associated with the relevant uShares, in accordance with the applicable structure.

Example\
If a real estate opportunity is structured with a reference value of $1,000,000 divided into 1,000 uShares, holding 100 uShares corresponds to a proportional reference exposure of 10%. If a subsequent certified assessment updates the reference value to $1,200,000, the associated reference parameters adjust accordingly. Conversely, a decrease in the reference value would be reflected proportionally.

Lifecycle events and relevant economic updates are immutably recorded through on-chain notarization mechanisms, ensuring consistency, traceability, and transparency throughout the lifecycle. The lifecycle of a uShare follows a structured operational flow designed to provide proportional economic exposure to a tokenized Real World Asset, while ensuring transparency through on-chain records.

### Acquisition and Participation

Users select a tokenized opportunity made available through the Urano Platform (uApp).\
After completing the required identity verification (KYC) and accepting the applicable terms and conditions, users may acquire uShares using supported crypto assets via their Web3 wallet.

Before public availability, $URANO stakers receive a 48-hour priority access window to uShare allocations through the uApp.

Upon completion of the transaction, uShares are transferred to the user’s Web3 wallet and displayed within the user profile interface on the uApp.

Amounts received in connection with uShare acquisitions are allocated to the dedicated legal and operational structure established for the relevant opportunity, in accordance with the applicable framework. Such allocation supports the implementation, management, or operation of the underlying asset structure, as applicable.

### Maturity and Redemption

Each uShare follows a defined lifecycle that may include a maturity, completion, or settlement event, depending on the structure of the underlying opportunity.

Where such an event is provided for under the applicable framework, eligible users may submit their uShares through the Urano Platform to initiate a technical claim process, in accordance with the relevant terms and conditions. Upon submission, the uShares are permanently burned as a technical measure to prevent duplication or double-claiming.

Where an economic outcome becomes claimable, the corresponding amounts are processed through the platform’s technical infrastructure and, where applicable, made available to eligible users via on-chain settlement in stablecoins.

Any such amounts reflect the finalized economic outcome of the opportunity—which may be positive, neutral, or negative—and are determined exclusively under the applicable legal and operational framework, and not by virtue of the uShares themselves.

### Certified Assessments & On-Chain Notarization

At predefined intervals, authorized and independent professionals conduct formal appraisals, audits, or certified valuations of the relevant real-world asset, in accordance with applicable professional standards.

The outcomes of these assessments are used to update the reference parameters associated with the tokenized structure. These parameters serve as informational indicators supporting transparency and traceability and do not represent an official price or market valuation determined by the platform.

Following each certified assessment, updated reference parameters are immutably recorded through on-chain notarization, ensuring consistency, auditability, and lifecycle transparency.

This distinction reflects the difference between functional descriptions used in Docs and the legal classification applied in the MiCA crypto-asset white paper.

What does MiCA mean by “utility token”?

Under Article 3(1)(9) MiCA, a utility token is a crypto-asset intended exclusively to provide access to a specific good or service provided by the issuer.
